Conflict Disclosures

Captures directors' declarations of interest (mfi.board.conflict.disclosure) - related-party dealings, outside directorships and personal interests that could bias decisions. Each disclosure links to the director and any affected matter, creating a standing conflicts register. It lets the board manage recusals and demonstrate good-governance discipline to regulators.

Workflow

  1. Open Conflict Disclosures under Governance.
  2. Create a disclosure and link it to the declaring director.
  3. Describe the interest and the matters it may affect.
  4. Record the management decision, such as recusal from a vote.
  5. Review the register before relevant board resolutions.
